Terms of Service

1. Who we are
FleetUp ("FleetUp", "we", "us") provides a fleet operations software-as-a-service platform for businesses operating commercial vehicle fleets in India. By creating an account, accessing, or using the FleetUp platform (the "Service"), you ("Customer", "you") agree to be bound by these Terms of Service.
2. Account & access
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify FleetUp immediately of any unauthorised use. The Service is intended for use by authorised personnel of your organisation; you may not share credentials outside your organisation.
3. Subscription & payment
Subscription fees, billing cycle, and included usage limits are set out in your order form or quotation. Fees are payable in Indian Rupees and are exclusive of applicable taxes. Late payment may result in suspension of access. Subscriptions auto-renew on the cycle set out in your order form unless cancelled in writing before the renewal date.
4. Customer data & ownership
You retain all rights, title and interest in the data you upload to or generate through the Service ("Customer Data"). FleetUp is granted a limited licence to host, process and transmit Customer Data solely to provide the Service to you. We will not access Customer Data except for support, security, or legal compliance purposes, or with your explicit consent.
5. Acceptable use
You agree not to use the Service to: (a) violate applicable laws; (b) infringe intellectual property rights; (c) transmit malicious code or interfere with the Service's operation; (d) reverse-engineer, scrape, or otherwise extract the Service's source code or proprietary algorithms; (e) resell or sublicense the Service to third parties without our prior written consent.
6. Service availability
FleetUp targets a monthly uptime of 99.5% for the production Service, measured at the application gateway. Scheduled maintenance windows will be communicated in advance where practicable. The Service is provided "as is"; specific uptime credits, if any, are set out in your order form.
7. Limitation of liability
To the maximum extent permitted by law, FleetUp's aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you to FleetUp in the twelve (12) months preceding the event giving rise to the claim. FleetUp shall not be liable for any indirect, incidental, consequential or special damages.
8. Termination
Either party may terminate the agreement for material breach not cured within thirty (30) days of written notice. On termination, your access to the Service will cease and we will, within a commercially reasonable period, make Customer Data available for export in a standard format.
9. Confidentiality
Each party agrees to protect the other's Confidential Information using the same degree of care it uses for its own Confidential Information of similar sensitivity, and in any case with no less than reasonable care. Confidential Information does not include information that is publicly available, independently developed, or rightfully obtained from a third party.
10. Governing law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
